Terms of Service
In short: these terms are a business agreement between [Legal entity name] and the company that signs up. You own your data and can export or delete it. Paid plans renew automatically until you cancel. Numerate is a tool to help estimators and project teams; it doesn't replace the judgment of licensed professionals, and you're responsible for checking its outputs before relying on them.
1. The agreement
These Terms of Service (“Terms”) are an agreement between [Legal entity name], [a State limited liability company] (“Numerate,” “we,” “us”), and the business or organization that creates a Numerate account (“Customer,” “you”). They cover the Numerate web app at app.numerate.build, the Numerate desktop app, and related services (together, the “Service”). The person who accepts these Terms confirms they are at least 18 and authorized to bind the Customer.
The Service is for business use. It is not offered to consumers or to anyone under 18.
2. Accounts and users
- You decide who gets access. Each user needs their own login; sharing logins is not allowed.
- Your plan includes a number of internal users (“seats”). Additional seats are billed as described on the pricing page. Client portal logins are free and don't use seats.
- You're responsible for what your users do in your account and for keeping credentials secure. Tell us promptly at support@numerate.build if you suspect unauthorized access.
- Owners and administrators control roles, permissions and data access in your account.
3. Free trial
New accounts get a free trial (currently 14 days of the Pro plan). No payment details are required, and nothing renews or is charged unless you choose a paid plan. If you don't, the account becomes read-only at the end of the trial and your data is kept until you delete it.
4. Plans, fees and taxes
- Prices are listed in US dollars on our pricing page and in the app, and are charged in advance for each monthly or annual billing period.
- Prices exclude taxes. You're responsible for applicable sales, use, VAT and similar taxes, which are shown at checkout.
- Payments are processed by Stripe. We don't receive or store your full card number.
- We may change prices with at least 30 days' notice by email. Changes apply from your next renewal; you can cancel before then.
- If a payment fails, we'll retry and notify you. If it remains unpaid, the account may become read-only until payment is made. We don't delete data for non-payment without at least 30 days' further notice.
5. Automatic renewal and cancellation
Paid plans renew automatically at the end of each billing period, at the then-current price, until canceled. Before an annual plan renews, we send a reminder by email.
You can cancel at any time in the app under Settings → Plan & billing → Manage billing, without contacting us. Cancellation takes effect at the end of the current billing period; you keep access until then. Refunds are covered by our Refund Policy.
Plan changes and seat changes made mid-period are prorated by our payment processor.
6. AI takeoff credits
AI takeoff is not yet available. When it launches, it will use prepaid credits. Credits have no cash value, can't be transferred between accounts, and don't expire while your account is open. Credits included with a plan are granted each billing period. Unused credits end when the account is deleted. Refunds for credit packs are covered by the Refund Policy.
7. Your data
- You own your data. “Customer Data” means everything you and your users put into the Service, including projects, estimates, schedules, documents and contacts.
- You give us permission to host, process, transmit and display Customer Data only as needed to provide, secure and support the Service and as you instruct. We don't sell Customer Data or use it to advertise.
- We handle personal information in Customer Data as your service provider, as described in our Privacy Policy. A Data Processing Addendum is available on request at privacy@numerate.build.
- You can export all of your data at any time (Settings → Company data). An owner can delete the company account there; deletion becomes permanent after a 30-day grace period.
- You're responsible for having the rights and permissions needed for the data you upload, including personal information about your clients, subcontractors and staff.
8. Acceptable use
You agree not to:
- break the law or infringe anyone's rights using the Service;
- upload malware or content you don't have the right to share;
- try to get into another customer's data, probe or bypass security, or overload the Service;
- scrape, copy, resell or sublicense the Service, or reverse engineer it except where the law allows;
- use the Service to build a competing product.
We may suspend access that threatens the Service or other customers. Where we reasonably can, we'll tell you first and give you a chance to fix the problem.
9. Estimates, formulas and professional responsibility
Numerate helps you calculate quantities, costs and schedules. Its formulas reproduce published relationships and common industry factors, and the starter cost data is illustrative only. Outputs depend on your inputs and assumptions and are not engineering, architectural, legal or financial advice. You're responsible for reviewing them, for confirming the codes and standards adopted by your jurisdiction, and for any bid, contract or construction decision you make. References to standards organizations identify sources; Numerate isn't affiliated with or endorsed by them.
10. Availability, changes and new features
We work to keep the Service available and secure but don't guarantee uninterrupted operation unless we've agreed to a service level in writing. We may improve or change the Service; if we remove a material feature you pay for, we'll give notice and you may cancel and receive a prorated refund of prepaid fees for that feature. Features labeled beta, preview or “coming soon” are provided as-is and may change.
11. Our intellectual property and feedback
We own the Service, including the software, formula library, designs and documentation. These Terms give you a right to use the Service during your subscription, not ownership of it. If you send suggestions, we may use them without obligation to you.
12. Confidentiality and security
Each party will protect the other's non-public information with reasonable care and use it only for this agreement. We maintain administrative, technical and physical safeguards described in our Privacy Policy, and will notify you without undue delay if we confirm a security incident affecting your Customer Data.
13. Disclaimer
Except as expressly stated in these Terms, the Service is provided “as is” and “as available,” and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent the law allows.
14. Limitation of liability
To the extent the law allows: (a) neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, bids or data, even if advised of the possibility; and (b) each party's total liability under these Terms is limited to the amounts you paid us in the 12 months before the claim. These limits don't apply to your payment obligations, to either party's indemnity obligations, or to liability that can't be limited by law.
15. Indemnity
You'll defend and indemnify us against third-party claims arising from Customer Data or your use of the Service in breach of these Terms. We'll defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property rights.
16. Term and termination
These Terms apply while you have an account. You can stop using the Service and delete your account at any time. We can terminate for material breach that isn't fixed within 30 days of notice, or immediately for serious abuse or legal requirement. After termination you can still export your data for 30 days unless the law prevents it. Sections that by their nature should survive (such as fees owed, data, liability and governing law) survive termination.
17. Governing law and disputes
These Terms are governed by the laws of [State], without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in [County, State], and both parties consent to that jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally for 30 days after written notice.
18. Changes to these Terms
We may update these Terms. For material changes we'll give at least 30 days' notice by email or in the app before they take effect; continuing to use the Service after that means you accept them. If you don't agree, you can cancel before the change takes effect.
19. General
These Terms, plus any order form or addendum we sign with you, are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. Neither party may assign this agreement without consent, except to a successor in a merger or sale of substantially all of its business. Neither party is liable for delays caused by events beyond its reasonable control. Notices to us go to support@numerate.build or [Street address, City, State ZIP]; notices to you go to the account owner's email.
